MERGERS & ACQUISITIONS

We guide clients through every stage of the mergers and acquisitions process, from initial negotiations and legal due diligence to deal structuring, drafting and negotiating transaction documents, and managing execution through to closing and post-transaction integration. Our approach ensures strategic alignment, regulatory compliance, and the proper handling of merger notifications under the Competition Act of 1998. We advise on a wide range of M&A transactions, including share buy-backs, restructurings, demergers, spin-offs, and acquisitions or disposals of shares, stock, assets, or businesses. In addition, we provide support on corporate transactions that fall within the roll-over relief provisions of the Income Tax Act.

MINING LAW

Our mining law expertise spans the full spectrum of regulatory and commercial matters affecting the sector. We advise on applications for and reviews of prospecting and mining rights, while also assisting with the structuring of BEE and indigenisation transactions. Our services include the sale, transfer, and encumbrance of rights in the context of share, stock, asset, or business acquisitions and disposals, with particular attention to compliance with section 11 of the MPRDA. We also negotiate, draft, amend, and review a wide range of mining-related agreements, including exploration and contract mining agreements, management and technical service agreements, off-take and marketing contracts, logistics arrangements covering long-term rail transportation and locomotive leases, as well as RBCT entitlement leases. 

PUBLIC LAW

Our public law services provide comprehensive support across administrative, constitutional, procurement, finance, and regulatory matters. We advise on lawful, fair, and reasonable decision-making processes, assist with judicial review applications against organs of state, and handle constitutional issues such as the rule of law, intergovernmental relations, data protection, and access to information requests. SIPHO M METHULA
Director

Sipho is a general commercial/corporate lawyer with over 20 years of legal experience, specializing in mergers and acquisitions,  particularly in the mining sector.  Sipho’s practice experience over the years includes structuring and executing a wide range of corporate/commercial transactions/projects, including: corporate restructurings, asset and shares (stock)  disposals/acquisitions, cross-border transactions, indigenization/ black economic empowerment transactions, commercial arrangements in relation to development and operation of mining projects and associated infrastructure and logistics (including rail), and mine host community development projects and transactions.

Sipho has advised various mining companies in relation to their transactions and projects in several key resource rich jurisdictions in Sub-Saharan Africa (such as Botswana, DRC, Gabon, Namibia, Lesotho, Mozambique, Tanzania, Zimbabwe and Zambia). Sipho has addressed various mining conferences and seminars in South Africa, Zimbabwe, Australia and Canada.

Sipho has lectured on commercial and business law issues for lawyers in Zimbabwe under the auspices of the (ISLP) International Senior Lawyers Project, a New York-based non-profit organisation that provides top-tier pro bono legal services to governments, civil society actors, and social enterprises in developing nations.

Sipho is an admitted attorney of the High Court of South Africa since 1999 and the High Court of the kingdom of Eswatini since 2017. He holds a BA Law degree from the University of Eswatini, an LLB degree from the University of Cape Town, and Certificates in Advanced Company Law I & II from the University of Witwatersrand

MANGALISO MTSHALI
Director

Mangaliso is a specialist employment law and public law attorney with over 25 years of legal experience.

He has a diverse range of skills and experience in employment law matters including advising on workplace policies and procedures, executive and employee contracts of employment, executive dismissals, employee retention and incentive schemes and the labour law consequences of business acquisitions and disposals. He has the experience of having litigated on these matters in the High Court, Labour Court and CCMA.

As a public law attorney, Mangaliso has extensive experience in and has advised on and conducted litigation on issues related to administrative and constitutional law, public procurement, the PFMA and public body decision making.

Mangaliso’s depth of experience extends to advising on regulatory issues in a wide range of industries, including the medical schemes and skills development and training industries. He has addressed client conferences on matters related to his areas of expertise and has conducted in-house training seminars thereon.

Mangaliso is an admitted attorney of the High Court of South Africa and has been practicing since 1997. He holds a BA Law degree from the University of Eswatini, an LLB degree from the University of Cape Town, and an Advanced Diploma in Labour Law from the University of Johannesburg (then known as Rand Afrikaans University).

BONTLE CHOKOE
Director

Bontle is an accomplished attorney with extensive experience in intellectual property law, corporate governance, and contract management. She has successfully advised and represented a diverse range of clients, including  SMMEs and corporate entities, providing strategic legal guidance in areas such as trademark and patent prosecution, IP commercialisation, and regulatory compliance.

Her expertise in company secretarial work includes drafting agendas, taking minutes, preparing board resolutions, and ensuring adherence to governance and compliance frameworks. She has served as a board member and secretary for the Law Society of South Africa (LSSA) in Limpopo and as Deputy Secretary for the Polokwane Legal Practitioners Association.

Bontle has played a critical role in contract negotiation, drafting, and management across multiple industries. She has provided legal oversight on shareholders agreements and commercial transactions ensuring legal soundness and risk mitigation. Her litigation background complements her commercial practice, enabling her to represent clients effectively in disputes and regulatory proceedings. Her experience also includes serving as a company secretary for several organisations, enhancing corporate decision-making processes and governance adherence.

Bontle is an admitted attorney of the High Court of South Africa. She holds an LLB degree from the University of Limpopo and has pursued further specialisation through intellectual property law courses from Harvard University, World Intellectual Property Organisation, and the South African Institute of Intellectual Property Law. She is further a member of the South African Institute of Intellectual Property Law, the Law Society of South Africa, and the South African Women Lawyers Association.

KGABO MASHALANE
Consultant

Kgabo is a skilled attorney with extensive experience in project finance, particularly within the renewable energy and infrastructure sectors.

Over the course of her career, she has contributed to high-impact transactions across Africa and the Middle East, often advising on complex, cross-border financings. She was part of the legal team that prepared a comprehensive suite of master finance documents for a trade financier, enabling streamlined day-to-day funding operations.

She also advised lenders in a $150 million financing arrangement for SA Taxi, working on the structuring and documentation of various finance facilities made available to a South African borrower. Kgabo played a key role as Borrower counsel in a landmark $243 million financing facility for the Al Ezzel Power Company, a major electricity provider in Bahrain-a deal that was recognised as “Middle East and Africa Refinancing Deal of the Year” at the PFI Awards 2018.

She has also represented sponsors in the development and financing of major renewable energy projects, including the 100+ MW CSP Redstone Project in South Africa, and the 300 MW Sakaka IPP Solar Project in Saudi Arabia, the first utility-scale renewable energy initiative under the Kingdom’s National Renewable Energy Program. The latter was honoured as “Middle East and Africa Power Deal of the Year” at the PFI Awards 2018. Kgabo’s breadth of experience reflects her commitment to innovative financing solutions and sustainable infrastructure development, both locally and internationally.

Kgabo Mashalane is an admitted attorney of the High Court of South Africa, holding an LLB Degree from the University of Witswatersrand.

DR. PHINDILE MASANGANE
Consultant

Phindile spent over 15 years working for the CEF Group of Companies, a South African government state-owned company. Phindile led the development of the first renewable energy projects including a 100MW CSP Solar Power Project. Her last role in the CEF Group of Companies was that of Chief Executive Officer of the national upstream oil and gas regulator, the Petroleum Agency SA from 2020 – August 2023.

In 2010 – 2013, Phindile was a partner at  KPGM South Africa, where she led the infrastructure and energy advisory team. In this role, Phindile advised clients (like Exxaro) in establishing their renewable energy portfolio. This included the full cycle of developing renewable energy projects (site selection, resource measurement, PPA negotiations, feasibility study, structuring and capital raising).  Phindile also led the US$2billion capital raising for the ZPC Kariba and Hwange Power Plants expansion projects while she was with KPMG South Africa.

On 1 March 2025, Phindile joined Africa Energy Corp. as Head: Strategy and Business Development. Africa Energy Corp is leading the development of the Block 11B/12B gas discoveries in the south coast of South Africa.

Phindile holds a PhD (Chemistry) from Imperial College; an MBA from the Wits Business School; and a BSC (Mathematics and Chemistry) from the University of Eswatini.

MULITI JOSEPH SATHEKGE

Muliti is a seasoned tax attorney and conveyancer, corporate law, legal strategist, and business advisor with over 25 years of experience in the legal, tax, and commercial sectors.

He is a former executive legal and tax advisor in multinational companies and possesses extensive litigation experience in: High Court and Magistrate Court, transactional advisory and M&A support for SMMEs and corporates, complex property development and real estate projects (as lead conveyancer), governance, corporate strategy, risk, and related regulatory frameworks.

Muliti also provides the following consultancy and business advisory services: Business Turnaround & Transaction Advisory, Investment Structuring (Trusts, SPVs, and Holding Companies), Governance & Risk Management, Market Access Strategy (Urban & Rural Development), Training & Capacity Building for Boards, Executives & Entrepreneurs.

He is driven by a passion for African economic empowerment through legal excellence, ethical leadership, and scalable business models. His goal is to provide world-class professional services tailored to the needs of Private and Public sector, SOEs, and multinationals operating across Southern Africa.

Muliti is an admitted attorney and conveyancer of the High Court of South Africa. He holds an LLB degree and Post-graduate Diploma in Tax Law from the University of Cape Town, H Dip International Tax from the University of Johannesburg (then known as Rand Afrikaans University).

He is a Certified Tax Practitioner (SARS & Recognized Body) and has ongoing specialization in Arbitration & Insolvency Law.

MODIBELA OMPHILE NETSHIOZWI
Consultant

Omphile is a registered patent attorney with extensive experience in IP protection, commercialisation and management. Her experience also includes innovation Harvesting and Intellectual Property Protection, Technology Licensing (including licensing negotiation and contract drafting), IP Audits and Due Diligence in view of funding of IP Commercialisation, IP Strategy Development and Implementation, including development and implementation of IP management policies.

Having spent six years at the law firm Spoor & Fisher, she has a good grasp of the legal technical aspects of IP commercialisation, which is augmented by her experience as Intellectual Property Manager at the Technology Innovation Agency and as Principal IP Legal Advisor at Sasol. She also served on the Board of Directors of the Licensing Executives Society of South Africa and recently chaired the Panel appointed by the Department of Science & Technology (now Department of Science & Innovation) to review the Intellectual Property Rights from Publicly Financed Research & Development Act and the National Intellectual Property Management Office.

Omphile also has corporate and commercial legal expertise including commercial transaction negotiation, contract drafting and review and providing commercial and corporate law advisory services to companies and organisations.

She was Head of Legal, Compliance & Technology Commercialisation at NTP Radioisotopes SOC Ltd where she was responsible for the overall management of the Legal & Compliance Function of NTP, as well as that of the Technology Commercialisation Function.

Omphile is an admitted attorney of the High Court of South Africa. She holds a BSc. Eng. (Chemical) from the University of the Witwatersrand and an LLB from the University of South Africa (UNISA).
